Welcome to Celly.
These Terms of Use ("Terms") govern your access to and use of the Celly mobile application, website, and related services (collectively, "Celly" or the "Service").
By creating an account, accessing, or using Celly, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use Celly.
1. About Celly
Celly is a habit-tracking and personal-development application designed to help users build habits, recognize progress, reflect on their goals, and celebrate positive actions.
Celly incorporates concepts and principles related to habit formation, personal development, and solution-focused approaches. Celly is a self-help and educational tool and is not a substitute for professional medical, mental health, psychological, financial, legal, or other professional advice.
2. Eligibility
You must be legally permitted to enter into these Terms in your jurisdiction.
If you are not old enough to enter into these Terms independently under applicable law, you may use Celly only with the permission and supervision of a parent or legal guardian.
3. Your Account
Some Celly features require an account.
You agree to provide accurate information and to take reasonable steps to protect your account credentials.
You are responsible for activity conducted through your account unless caused by circumstances outside your reasonable control.

4. Your Content and Habit Data
You may provide Celly with information such as habits, goals, identity statements, reflections, notes, Unplanned Awesomeness entries, and other content ("User Content").
You retain ownership of your User Content.
By using Celly, you give us permission to host, store, process, reproduce, and otherwise use your User Content only as reasonably necessary to operate, maintain, improve, secure, and provide Celly, as described in our Privacy Policy.
You are responsible for the information you choose to enter into Celly.
5. Acceptable Use
You agree not to misuse Celly.
You may not:
Attempt to gain unauthorized access to Celly, another user’s account, or our systems.
Interfere with or disrupt the operation or security of the Service.
Use Celly to distribute malicious software or harmful code.
Use automated systems to improperly scrape, extract, or access the Service.
Reverse engineer or attempt to obtain Celly’s source code except where applicable law expressly permits it.
Use Celly for unlawful, fraudulent, abusive, or harmful purposes.
Impersonate another person or misrepresent your affiliation with another person or organization.
We may restrict or terminate access when reasonably necessary to protect Celly, its users, or others.
6. Celly+ and Paid Subscriptions
Celly may offer free and paid features, including a premium subscription currently referred to as Celly+.
Prices, subscription periods, features, introductory offers, and free trials, if offered, will be displayed before purchase.
Mobile subscriptions are generally processed by the Apple App Store or Google Play and are subject to the applicable store’s payment and subscription terms.
Unless otherwise stated at purchase, subscriptions automatically renew until canceled.
You can manage or cancel your subscription through the store or account through which you purchased it.
Deleting your Celly account does not automatically cancel an active App Store or Google Play subscription.
Refunds are handled according to the policies of the platform through which the purchase was made and applicable law.
7. Changes to Features and Pricing
We may add, modify, improve, or discontinue features as Celly evolves.
We may also change subscription offerings or pricing. When required by applicable law or platform rules, users will receive appropriate notice before changes affecting an existing paid subscription take effect.
8. AI-Powered Features
Celly may offer artificial intelligence features that provide personalized insights, reflections, educational information, habit suggestions, coaching-style prompts, or other generated content.
AI-generated content may be incomplete, inaccurate, or inappropriate for your particular circumstances.
Celly’s AI features are intended to support reflection and personal development. They are not professional medical or mental health treatment and do not provide medical, psychological, psychiatric, legal, financial, or other professional advice.
You should use your own judgment when acting on AI-generated information and seek an appropriately qualified professional when professional advice is needed.

9. Health and Personal Development Disclaimer
Celly is intended as a habit-tracking, educational, motivational, and personal-development tool.
Celly does not diagnose, treat, cure, or prevent any disease, disorder, or medical or mental health condition.
Habit recommendations, educational information, insights, streaks, scores, progress indicators, AI-generated responses, and other features should not be interpreted as professional healthcare advice.
If you have concerns about your physical or mental health, consult an appropriately qualified healthcare professional.
If you believe you are experiencing an emergency, contact the appropriate emergency services in your location.
10. Research and Improvement
Celly may use aggregated or de-identified information to understand how people form habits, improve the Service, conduct internal research, collaborate on academic research, or contribute to scientific publications.

11. Intellectual Property
Except for User Content, Celly and its associated software, designs, branding, graphics, text, features, trademarks, and other materials are owned by Celly or its licensors and are protected by applicable intellectual property laws.
These Terms give you a limited, personal, non-exclusive, non-transferable, revocable right to use Celly for its intended purposes.
They do not transfer ownership of Celly or its intellectual property to you.
12. Third-Party Services
Celly relies on third-party services to provide certain functionality, such as hosting, authentication, subscription processing, email delivery, analytics, artificial intelligence, and app distribution.
Your use of certain third-party services may also be subject to their own terms and policies.
We are not responsible for third-party services that are outside our reasonable control.
13. Service Availability
We work to keep Celly available and reliable, but we cannot guarantee that the Service will always be available, uninterrupted, secure, or error-free.
Celly may occasionally be unavailable because of maintenance, updates, technical problems, third-party outages, or circumstances beyond our control.
14. Account Suspension or Termination
You may stop using Celly at any time and may delete your account using the account deletion features provided in the app.
We may suspend or terminate access if you materially violate these Terms, misuse the Service, create security or legal risks, or engage in conduct that could harm Celly or its users.
Where appropriate, we will make reasonable efforts to provide notice.
15. Disclaimers
To the extent permitted by applicable law, Celly is provided on an "as is" and "as available" basis.
We do not guarantee that using Celly will cause you to achieve a particular habit, goal, health outcome, level of productivity, or personal-development result.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable consumer-protection law.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Celly and its owners, affiliates, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
17. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Celly harmless from claims, liabilities, damages, and reasonable expenses arising from your unlawful misuse of the Service or material violation of these Terms.

Your privacy matters to us.
Our "Privacy Policy" explains what information we collect, how we use it, when it may be shared, and the choices available to you.

19. Changes to These Terms
Celly will continue to evolve, and we may update these Terms from time to time.
If we make material changes, we will provide notice when reasonably required, such as through the app, website, or email.
Your continued use of Celly after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
20. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except where applicable consumer-protection law provides otherwise.
Nothing in these Terms prevents you from exercising rights available to you under applicable law.
